NativeCAD (formerly CADSolver; also published as OmniVoxel) — Dual License

Copyright (c) 2026 Lewis Valentine. All rights reserved.

NativeCAD is the product name; "CADSolver" remains the name used in package
identifiers, file formats, and the license text below, and both names refer
to the same software. NativeCAD is dual-licensed. You may use it under
EITHER of the following:

  1. The CADSolver Non-Commercial License (below) — free of charge, for
     evaluation, personal, academic, and other non-commercial use; or

  2. A CADSolver Commercial License — required for any commercial use,
     including embedding the kernel, viewer, mesher, or exporters in a
     product or service. See COMMERCIAL.md for tiers, pricing, the grant of
     rights (what you may do with the source, for how long, and what happens
     if you don't renew), and how to purchase. COMMERCIAL.md's "commercial
     license grant" section is the operative legal text for that license,
     not just a pricing summary.

NEITHER license is available to the Excluded Parties defined in Section 9
below (competitors including Dassault Systemes and Siemens, their affiliates,
and their personnel) — in any capacity, personal or commercial, for any
reason. ALL licenses granted here or in COMMERCIAL.md are term licenses
(Section 10): no perpetual, irrevocable, or unrestricted license is granted
to anyone by any document in this repository.

Prior versions: any version of this software previously published under the
MIT License remains available under the MIT License for that version only.
This dual license applies to this version and all later versions.

CADSolver Non-Commercial License, version 1.1
────────────────────────────────────────────────────────────────────────────

1. GRANT. Subject to the terms below — including eligibility (Section 9),
   the 12-month term (Section 10), and the competitive-use restrictions
   (Section 11) — the copyright holder grants you a worldwide, royalty-free,
   non-exclusive, non-transferable, non-sublicensable, term-limited license
   to use, copy, modify, and run this software and its source code for any
   NON-COMMERCIAL PURPOSE.

2. NON-COMMERCIAL PURPOSE means: personal projects, self-education,
   academic teaching and research, evaluation of the software (including
   evaluation inside a company, for up to 60 days), and development of
   open-source software that is itself distributed non-commercially.
   An evaluation may exceed 60 days, or carry a broader scope, only under
   an evaluation approval issued by the copyright holder or its authorized
   agents — including automated or AI agents acting on the copyright
   holder's behalf through featureboard.ai, in-product tooling, or support
   channels. An approved evaluation is licensed only within its recorded
   scope and duration, is non-transferable, and remains subject to every
   other Section (no agent approval can waive Sections 9 or 11); the
   copyright holder's issuance records control what was approved.

3. COMMERCIAL USE — NOT PERMITTED UNDER THIS LICENSE — includes, without
   limitation: incorporating the software into a product or service that is
   sold, licensed, or monetized (directly or via advertising, subscriptions,
   or internal business use beyond evaluation); using the software to
   provide paid services (consulting deliverables, SaaS, hosted conversion
   or meshing); and redistributing the software as part of a commercial
   offering. These uses require a Commercial License (COMMERCIAL.md).

4. REDISTRIBUTION of this software or modified versions must retain this
   LICENSE file, the copyright notice, and COMMERCIAL.md, and must not
   misrepresent the origin of the software. Any permitted redistribution
   must be under terms no less protective of the copyright holder than
   this license — including Sections 9 through 12 — so that every
   downstream recipient, at every tier, is bound by the same eligibility,
   term, competitive-use, and removal-on-termination obligations.

5. NO TRADEMARK RIGHTS. The "NativeCAD", "CADSolver", and "OmniVoxel"
   names and logos are not licensed under this document.

6. TERMINATION. This license terminates automatically if you breach it, if
   you become an Excluded Party (Section 9), and at the end of an unrenewed
   term (Section 10). Upon termination the removal obligations of Section
   12 apply. (A subsequently purchased Commercial License cures a
   commercial-use breach going forward; nothing cures Excluded Party
   status.)

7. NO WARRANTY. THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE",
   WITHOUT WARRANTY OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING
   BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A
   PARTICULAR PURPOSE, TITLE, NONINFRINGEMENT, QUIET ENJOYMENT, ACCURACY,
   AND UNINTERRUPTED OR ERROR-FREE OPERATION, AND ANY WARRANTY ARISING FROM
   COURSE OF DEALING OR USAGE OF TRADE. NO ORAL OR WRITTEN INFORMATION OR
   ADVICE FROM THE COPYRIGHT HOLDER CREATES A WARRANTY. IN NO EVENT SHALL
   THE AUTHOR BE LIABLE FOR ANY CLAIM, DAMAGES OR OTHER LIABILITY — DIRECT,
   INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY, INCLUDING
   LOST PROFITS OR LOST DATA — ARISING FROM THE SOFTWARE OR ITS USE, EVEN
   IF ADVISED OF THE POSSIBILITY.

8. GOVERNING LAW. This license is governed by the laws of the State of
   Delaware, USA, excluding its conflict-of-laws rules; exclusive venue
   for any dispute is the state and federal courts sitting in Delaware.

9. ELIGIBILITY — EXCLUDED PARTIES.
   No license of any kind — under this document or COMMERCIAL.md — is
   granted to, and the software may not be used, downloaded, installed,
   run, or evaluated by or for the benefit of, any EXCLUDED PARTY, in any
   capacity, personal, academic, evaluation, or commercial, for any reason.
   "Excluded Party" means:
   (a) NAMED COMPANIES: Dassault Systèmes SE; Siemens AG (including
       Siemens Digital Industries Software); Autodesk, Inc.; PTC Inc.
       (including Onshape); Ansys, Inc.; Hexagon AB; Bentley Systems,
       Incorporated; Trimble Inc.; Atlassian Corporation; Asana, Inc.;
       Linear Orbit, Inc. (Linear); monday.com Ltd.; Notion Labs, Inc.;
       and Mango Technologies, Inc. (ClickUp);
   (b) AFFILIATES of any named company: any entity that controls, is
       controlled by, or is under common control with it;
   (c) COMPETITORS: any other person or entity that develops,
       manufactures, markets, licenses, or sells (i) CAD, CAM, or CAE
       software, geometry kernels, meshing or simulation tools, or PLM/PDM
       software or services, or (ii) project-management, issue-tracking,
       product-management, or agentic software-development-workflow
       software or services, in each case competitive with this software
       or with FeatureBoard, and that entity's affiliates; and
   (d) PERSONNEL: any employee, officer, director, contractor, or agent of
       any of the above, whether acting for their employer or in a
       personal capacity.
   Use by an Excluded Party is unlicensed copyright infringement. If you
   become an Excluded Party, your license terminates immediately and
   Section 12 applies. (Versions previously published under MIT remain MIT
   for those versions only; this section applies from this version onward.)

10. TERM AND RENEWAL. Every license under this document has a term of
    twelve (12) months from first use and from each renewal.
    Non-commercial licenses renew automatically at no charge for
    successive 12-month terms while you remain eligible and in compliance;
    the copyright holder may decline a renewal on thirty (30) days'
    notice. Commercial terms and renewal are per COMMERCIAL.md. No use
    right survives the end of an unrenewed term, and nothing in this
    repository grants a perpetual, irrevocable, or unrestricted license to
    anyone.

11. COMPETITIVE-USE RESTRICTIONS.
    Whoever you are, you may not:
    (a) use the software, its source, or its documentation for competitive
        analysis, benchmarking, or competitive intelligence, or for the
        benefit of an Excluded Party;
    (b) publish or disclose to any third party any benchmark, performance,
        or feature comparison of the software without the copyright
        holder's prior written consent;
    (c) use the software, its source, or its documentation to design,
        develop, train, improve, or inform a competing product or service,
        including using any part of it as training data for a
        machine-learning or AI model;
    (d) reverse engineer, decompile, or circumvent license-enforcement
        mechanisms, except to the extent a non-waivable right under
        applicable law permits it;
    (e) remove or alter copyright, trademark, or license notices.
    You acknowledge that breach of this section causes irreparable harm
    for which damages are inadequate, and the copyright holder may seek
    injunctive relief in addition to all other remedies.

12. REMOVAL ON TERMINATION; FLOW-DOWN.
    Upon termination or expiration of your license you must immediately
    cease all use and uninstall and permanently remove the software from
    all machines, servers, containers, and systems under your control
    (backups as they cycle out), and, on request, certify removal in
    writing within ten (10) days. If you provided the software or access
    to it to anyone else (customers, and their customers, at every tier),
    you must have bound each of them to terms no less protective than
    these, including this removal obligation, and you are responsible for
    ensuring they likewise cease use and remove the software when your
    license terminates. Sections 5, 7, 8, 11, 12, and 13 survive
    termination. Geometry and other output you validly produced while
    licensed remains yours.

13. MISCELLANEOUS. You may not assign this license without the copyright
    holder's written consent; the copyright holder may assign it. Failure
    to enforce a provision is not a waiver. If a provision is held
    unenforceable it is limited to the minimum extent necessary and the
    remainder stays in effect. You must comply with applicable
    export-control and sanctions laws. All rights not expressly granted
    are reserved.

there.
